Abstract of

Statute of the Foundation

§ 2
The Foundation is apolitical organisation; it shall refrain from favouring or discriminating any religion or philosophy of life as well as from supporting any political organisation.

§ 7
The Foundation objectives:
  1. Organisation and support of education, mainly in the economic and social field, contribution to the development of economy of the Republic of Poland and creation of civil society.
  2. Support of democratic, pluralistic political culture of all society groups.
  3. Promotion of initiative in the society as well as promotion of business engagement in public and social institutions.
  4. The shaping of pro-civil attitudes and propagation of knowledge of economic market mechanisms.
  5. Promotion of Poland’s social and economic achievements in Poland and abroad.
  6. Activities for the benefit of permanent and creative participation of Poland in main development lines of world economy.
  7. Support of public and social institutions, which serve the protection of national heritage.

§ 8
In performance of the objectives set forth in § 7, the Foundation:
  1. initiates, creates conditions and organises research concerning the processes of economic transformation in Poland and abroad as well as applies their results for educational and information purposes;
  2. participates in elaboration and modernisation of teaching and training programs, mainly in the field of social and economic issues, as well as in their propagation;
  3. co-operates with expert institutions in creation of educational programs for various forms of education;
  4. co-operates with expert institutions in research on knowledge and social and economic attitudes in the society;
  5. co-operates with local administration, state and economic administration, other organisations, companies, social associations, both Polish and foreign, in the field covered by the Foundation’s activities;
  6. organises and co-organises national and international meetings, congresses, seminars, discussion panels, symposia, addresses, lectures, consultations, competitions, as well as organises and finances scholarships and study trips;
  7. initiates, supports and conducts scientific research;
  8. grants prizes and awards in the scope compliant with the Foundation’s statutory objectives;
  9. establishes other institutions serving the realisation of the Foundation’s statutory objectives;
  10. grants assistance and support to all initiatives, which contribute to the development of cultural and economic life;
  11. organises fund-raising events as well as seeks domestic and foreign sponsors for supporting of initiatives in the scope covered by the Foundation’s activities;
  12. if the Foundation’s seat is a historic building, the Foundation can repair, renovate, and provide maintenance of the building while preserving its historical nature.

§ 9
The Foundation fulfils its objectives in accordance with legal regulations in force and this statute.

§ 11
The Foundation bodies are: Foundation Council and Foundation Management Board.

§ 13
The Foundation Council:
  1. sets main directions of Foundation’s activities,
  2. accepts by resolution the plans of activities,
  3. guides the Foundation with respect to the essence-related issues,
  4. supports the Foundation’s program activities with opinions and expert surveys,
  5. evaluates the Foundation’s activities,
  6. performs periodical evaluation of the Management Board’s activities,
  7. approves annual financial statements and balance sheet,
  8. makes decisions concerning a merger with another foundation,
  9. grants the vote of discharge to the Foundation Management Board,
  10. gives opinion on the issues presented by the Management Board,
  11. examines the annual budget of the Foundation and adopts resolutions related thereto.

§ 16
The Foundation Management Board represents the Foundation outside and directs the Foundation’s activities, making decisions in all matters not restricted to the Foundation Council, and in particular:
  1. performs the management over the Foundation’s property;
  2. establishes and liquidates organisational units of the Foundation;
  3. adopts the bylaws of Management’s work and other internal rules and regulations;
  4. prepares the meetings of the Foundation Council;
  5. makes decisions concerning organisational structure of the Foundation and sets the number of regular employees and persons temporarily co-operating with the Foundation, as well as determined the rules of their employment or co-operation and remuneration;
  6. specifies the division of work between the members of Management Board;
  7. develops draft programs of Foundation’s activities and the plans of their realisation;
  8. determines the rules and amounts for the financial assistance granted by the Foundation, including scholarships, prizes and subsidies;
  9. examines the reports of ad hoc control teams, opinions of issue commissions and consultants’ teams;
  10. adopts by resolution the rules and regulations for reimbursement of costs and expenses to the persons, who incurred such in connection with the Foundation’s activities;
  11. adopts by resolution the instructions regarding administration and financial and economic activities;
  12. prepares financial plans and balance sheets as well as annual reports on the Foundation’s activities;
  13. presents, at the request of minister competent for national education matters, the reports on activities of members of the Management Board, plans of activities and analyses of correctness of use of financial means and other elements of the Foundation’s property.

§ 17
If the Management Board consists of many persons, the joint action of two members of the Management Board or one member of the Management Board and the plenipotentiary appointed by the Management Board is required to make the declarations of will and to sign on behalf of the Foundation.
